Terms of Service

Please read these Terms of Service carefully before using the Numbrrs platform and services. By placing an order, creating an account, or otherwise using our services, you agree to be bound by these Terms of Service in full. If you do not agree with any part of these terms, you must not use our services.

In these Terms of Service, "we", "us", and "our" refer to Numbrrs (a trading name of S-IMSY Ltd). "You" and "your" refer to the customer or user of our services.

1. About Our Services

1.1 Numbrrs provides mobile telephone numbers and associated messaging services for use by businesses, AI agents, chatbots, and applications. Our services include the provisioning of UK mobile numbers, SMS messaging capabilities, and integration with third-party messaging platforms.

1.2 All numbers provided through the Numbrrs platform are obtained from registered network operators or licensed partners. The numbers remain the property of the relevant mobile network operator at all times. Your subscription provides you with the right to use the number and associated services for the duration of your active subscription; it does not confer ownership of the number itself.

1.3 Our telecommunications services are provided on a best-efforts basis. We endeavour to maintain the highest standards of reliability and service quality; however, we cannot guarantee uninterrupted or error-free service at all times.

2. Orders and Subscriptions

2.1 By placing an order through the Numbrrs platform, you are making an offer to subscribe to our services. We reserve the right to accept or reject any order at our sole discretion.

2.2 Upon acceptance of your order, your number will be provisioned and the associated services activated. Services are billed on a monthly subscription basis and are consumed within the billing period in which they are provided.

2.3 You are responsible for ensuring that all information provided during the order process is accurate and complete. We are not liable for any failure of service arising from inaccurate or incomplete information provided by you.

2.4 Prices for our services are as displayed on our website at the time of ordering. All prices are exclusive of VAT unless otherwise stated. We reserve the right to alter our pricing at any time, provided that any changes to pricing will take effect from the start of your next billing period and you will be notified in advance of any price changes.

3. Number Packs

3.1 Where numbers are purchased as part of a pack or bundle, please be aware that due to the architecture of our systems, we are unable to disaggregate individual numbers from a pack. Cancelling any single number within a pack will result in the cancellation of the entire pack.

3.2 We will provide notification where a cancellation request would affect other numbers within a pack. However, it is your responsibility to ensure that you do not cancel numbers where you require other numbers within the same pack to remain active.

3.3 We are continually working to improve the flexibility of our platform and may introduce the ability to manage individual numbers within packs in the future.

4. Refund Policy

4.1 As our services are provisioned and delivered instantly upon activation, and are consumed within the billing period in which they are provided, we do not offer refunds on subscription fees once services have been activated.

4.2 This no-refund policy applies to all subscription types, including individual numbers and number packs. By placing an order, you acknowledge and accept that instant provisioning constitutes full delivery of the service for that billing period.

4.3 In exceptional circumstances, refund requests may be considered at our sole discretion. Any such requests should be directed to support@numbrrs.com.

5. Cancellation and Number Reissue

5.1 You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation, your services will remain active until the end of the current billing period.

5.2 When your subscription is cancelled or ceases for any reason, the number allocated to your account will be relinquished back to the network operator from which it was obtained. Once a number has been relinquished, we are unable to retrieve or reassign it to you.

5.3 Relinquished numbers may be reissued to other parties. Whilst we endeavour to allow a reasonable period before reissuing numbers, we cannot guarantee any specific retention period. There is no defined timeframe within which a number will or will not be reissued.

5.4 It is therefore essential that you maintain an active subscription if you wish to retain exclusive use of your number. If you require continued access to a particular number, do not cancel your subscription.

5.5 Upon cancellation, it is your sole responsibility to:

(a) Ensure that the number is no longer being used by any services, applications, or third-party platforms;
(b) Update any registrations, verifications, or accounts that are linked to the number;
(c) Ensure that no further services or communications are required on that number.

5.6 We accept no liability for any loss, inconvenience, or damage arising from the reissue of a cancelled number, including but not limited to the interception of messages or communications by a subsequent holder of that number.

6. Number Porting

6.1 We welcome customers who wish to port their existing mobile number into the Numbrrs service. Number porting allows you to transfer your current number from another provider to our platform, subject to the porting regulations and procedures applicable in the relevant jurisdiction.

6.2 To initiate a port-in request, please contact us at porting@numbrrs.com. Our team will guide you through the process and provide an estimated timeline for completion. Porting timescales are subject to the cooperation of your current provider and the relevant network operators.

6.3 We also support outbound porting where customers wish to transfer their Numbrrs number to another provider, in accordance with applicable porting regulations. Please contact porting@numbrrs.com to initiate an outbound port request.

6.4 We are not responsible for delays, errors, or failures in the porting process that are attributable to third-party network operators or your current service provider. During the porting process, there may be a brief interruption to services which is outside our control.

7. Acceptable Use Policy

7.1 You agree to use the Numbrrs services only for lawful purposes and in accordance with these Terms of Service. You must not use our services in any way that is unlawful, harmful, fraudulent, threatening, abusive, or otherwise objectionable.

7.2 Without limitation, the following uses of our services are strictly prohibited:

(a) Sending unsolicited bulk messages, spam, or nuisance communications of any kind;
(b) Engaging in or facilitating any form of criminal activity;
(c) Distributing content that promotes hatred, racism, discrimination, or violence against any individual or group;
(d) Engaging in harassment, stalking, or intimidation of any person;
(e) Distributing malicious software, phishing content, or fraudulent communications;
(f) Using the services for any purpose that is illegal or immoral, including but not limited to fraud, money laundering, or terrorism;
(g) Operating nuisance services, premium rate scams, or any service designed to cause annoyance, inconvenience, or needless anxiety to others;
(h) Any use that breaches applicable laws, regulations, or industry codes of practice.

7.3 We reserve the right, in our sole discretion, to immediately suspend or terminate your services without notice where we reasonably believe that your use of our services constitutes a breach of this Acceptable Use Policy, or is being used for illegal or immoral purposes.

7.4 Where services are terminated under this clause, no refunds, credits, or compensation of any kind shall be due.

8. Third-Party Platform Integration

8.1 Whilst we do our utmost to enable the integration of Numbrrs numbers with third-party services, including but not limited to social media platforms and messaging applications such as WhatsApp, Telegram, Signal, and similar services, we are not responsible for the manner in which these third-party platforms operate their services.

8.2 Third-party platforms may change their terms, policies, verification procedures, or technical requirements at any time and without notice. If, as a result of such changes, Numbrrs numbers are unable to function with a particular third-party platform, we cannot be held responsible.

8.3 We run continuous testing and monitoring of our services to ensure maximum integration and compatibility with major platforms. However, we make no warranty or guarantee that our numbers will be compatible with any specific third-party platform at any given time.

8.4 Any issues relating to the functionality of a third-party platform should be directed to that platform's support channels. We will, where possible, assist in troubleshooting integration issues on our side.

9. Message Delivery and Network Liability

9.1 We are not responsible for the safe sending or receiving of messages transmitted through our services. Whilst we take all reasonable steps to ensure reliable message delivery, we cannot guarantee the delivery of any message through networks beyond our own.

9.2 We offer troubleshooting and analytic services for messages processed within our own network infrastructure. However, once a message has left our network and entered third-party carrier networks, we have no visibility or control over its delivery.

9.3 We shall not be held liable for any failure, delay, or error in the delivery of messages that is attributable to networks, systems, or services beyond our control.

9.4 For the avoidance of doubt, our liability in respect of message delivery is limited to the extent of our own network and systems. We accept no responsibility for the actions, omissions, or failures of third-party network operators.

10. Law Enforcement and Regulatory Compliance

10.1 We are committed to complying with all applicable laws and regulations, including those relating to telecommunications, data protection, and law enforcement cooperation.

10.2 Where law enforcement authorities or regulatory bodies make lawful requests for information relating to the use of our services, we will cooperate to the fullest extent required by law. This may include the disclosure of account information, message content, and usage data.

10.3 By using our services, you acknowledge and accept that our services should not be used for any purpose where you require communications to be concealed from lawful investigation. If a lawful request is made by an appropriate authority, we will comply with that request and make available such information as is required.

10.4 We may also disclose information where we reasonably believe that disclosure is necessary to protect the safety of any person, to prevent or detect crime, or to comply with any legal obligation.

11. Modifications to Services

11.1 We reserve the right to alter, modify, upgrade, or discontinue any aspect of our services at any time. We will endeavour to provide reasonable notice of any material changes to our services.

11.2 Continued use of our services following any modification constitutes your acceptance of the modified terms and services.

12. Limitation of Liability

12.1 To the maximum extent permitted by applicable law, our total aggregate liability to you in respect of any and all claims arising out of or in connection with these Terms of Service or our services shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

12.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption, however arising, whether in contract, tort, or otherwise.

12.3 Nothing in these Terms of Service excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

13. Complaints and Feedback

13.1 If you are dissatisfied with any aspect of our services or wish to raise a complaint, please contact us at support@numbrrs.com. We will acknowledge your complaint within two (2) business days and aim to provide a full response within ten (10) business days.

13.2 We are continually looking to monitor and improve our services. We welcome feedback from our customers, along with suggestions for product enhancements, new features, and improvements. Please email support@numbrrs.com with any feedback.

13.3 If you are not satisfied with our response to your complaint, you may refer the matter to the relevant ombudsman or regulatory body.

14. General Provisions

14.1 These Terms of Service constitute the entire agreement between you and Numbrrs in relation to your use of our services and supersede all prior agreements, understandings, and arrangements between us.

14.2 If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

14.3 Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

14.4 These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.5 We may assign or transfer our rights and obligations under these Terms of Service to any third party without your prior consent. You may not assign or transfer your rights or obligations without our prior written consent.

14.6 Any notice required or permitted to be given under these Terms of Service shall be in writing and shall be deemed to have been duly given if sent by email to the relevant party at the email address provided.

15. Force Majeure

15.1 We shall not be liable for any failure or delay in performing our obligations under these Terms of Service where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, network outages, power failures, industrial disputes, or failures of third-party suppliers or carriers.
